In Suzano, we strive to ensure that all our relationships reflect the highest ethical standards and integrity. The company’s Code of Ethics and Conduct aims to commit our board members, directors, administrators, managers, shareholders, employees, outsourced workers, suppliers, customers, and any individuals or entities we engage with—whether stakeholders or their affiliates and subsidiaries—to the ethical principles that govern our business conduct and to disseminate them throughout our network of relationships. This includes unwavering respect for human rights as a fundamental condition to be upheld by all parties involved in our business.
These are some of the topics covered by our Code of Ethics and Conduct:
- Compliance with laws, internal rules and procedures;
- Confidentiality of information not disclosed to the market;
- Privacy and protection of personal data;
- Commitment to the best corporate governance practices to comply with the regulations covering publicly traded companies;
- Anti-corruption practices;
- Antitrust and fair competition practices;
- Receiving gifts and presents;
- Conflicts of interest;
- Health promotion and disease prevention guidelines established by the Ministries of Health and Labor, as well as the World Health Organization (WHO), emphasizing epidemic and pandemic periods;
- Harassment of any kind, inappropriate behavior, discrimination, human rights, child and/or slave labor;
- Professional development;
- Sustainable development;
- Transparency.
As stated in the document, we are committed to fairness, accountability, corporate responsibility and ensuring human rights in our business and operations. To reinforce this commitment, we raise awareness of these issues through communications, training and team meetings. As an example, in 2024 we prepared mandatory training on the Anti-Corruption Policy, in video format, and ensured that our Code of Ethics and Conduct was disseminated to all Suzano employees.
The Code and its mandatory training are updated every two years, with the last revision in 2023. The training was also carried out by 100% of the 66,626 service providers who worked or provided services at our units.
To this end, we have policies that support the entire process, including:
- Ombudsman Policy – POL.00.00006: its purpose is to establish the process and governance guidelines for the activities of the area and the Whistleblowing Channel in terms of compliance with applicable legal and normative provisions, as well as internal regulations and codes, including the provision of specific procedures to protect the whistleblower and the confidentiality of information. This policy covers directors, officers, directors, administrators, administrators, managers, managers, shareholders, collaborators, collaborators, outsourced employees, suppliers, customers, related persons and/or entities, and stakeholders of Suzano;
- Disciplinary Measures Policy – POL.00.00029: establishes the guidelines and defines the principles, concepts, and criteria for applying disciplinary measures to the company's employees;
- Conduct Management Committee Rules of Procedure – MAN.00.00001: is advisory in nature, acting as a primer on how the area works and what its obligations, duties and decisions are.
- Responding to Reports of Gender-Based Violence (Moral and Sexual Harassment, Harassment and Discrimination) – PC.00.152: the purpose of this policy is to regulate and establish guidelines for preventing, identifying, and combating discriminatory practices of bullying and sexual violence (sexual harassment and harassment).
The Ethics and Ombudsman areas are responsible for ensuring governance in the dissemination of the Code of Ethics and Conduct and online training on the subject for Suzano S.A. and for monthly communication on the Code and its developments.
